OMG!, was my fault!

syslinux works different than extlinux!

1) Device must not be mounted, before running syslinux (like in extlinux)
2) -d DIRECTORY is relative to root directory of the drive, so the 
_right_ command is
# syslinux -i -d arch/boot/syslinux /dev/loop0p1
